Terms & Conditions of Trade |

| 1 (a) |
These conditions shall come into force on acceptance of your order by us. |
(b) |
In case of any conflict variance or inconsistency between these conditions and the terms of your order or any correspondence relating thereto these conditions shall prevail to the extent that they are not specifically excluded in writing by us. |
(c) |
No statements, documentation or correspondence which is not specifically herein stated or referred to shall apply to the contract brought into being on acceptance of your order by us. |

Goods rejected by you as not complying with the contract must be so rejected in writing within five days of receipt by you. |
| 3 (a) |
No claim for shortage, damage or loss can be allowed unless we are given written and verbal notification of such shortage, damage or loss,
within 48 Hours of receipt of the goods in the case of damage and/or loss. |
(b) |
In no circumstances should goods be returned to us prior to a written request for such return being made by us following an application by you.

| 4 (a) |
We shall be under no liability for any defect, which is due to accident, fair wear and tear, negligent use, tampering, improper handling or use, improper operation or storage or any other default on the part of anyone other than us. |
(b) |
In particular, electrical equipment/plant supplied by us, we draw your attention to the fact that the onus is on the buyer or the buyers representative to satisfy themselves that all equipment ordered and supplied by us is connected to a sound and suitable electrical supply by an approved contractor, and that such electrical supplies are of the correct rating and voltage consistency and free of 'electrical noise' as much as can be expected as per the manufactures specifications for such equipment. Any deviance from these specifications will automatically void any warranty claim for resultant damage to the equipment/plant or related equipment or goods stored etc. |
(c) |
We shall not be responsible for the suitability of goods supplied by us when used otherwise than in accordance with instructions in writing supplied by us from the manufacturer, whether on product labels or howsoever. |
(d) |
In particular we shall not be liable for consequential loss or damage, nor shall we have any liability in tort, when our products or goods supplied, are used otherwise than in accordance with instructions supplied as aforesaid.

| 5 |
For all sales made on a credit basis, payment is due within 28 days from our Invoice date. |
| 6 |
Prices are subject to change at any time without prior notice. |
| 7 |
Any amount due which exceeds this limit may be subject to the imposition of an interest charge applied at the current Bank of England base rate plus 5%.

| 8 |
The title to goods supplied by us remains with us until all related invoices and payments due are received and cleared fully by us. |

These conditions shall be governed and construed in accordance with English Law and shall be subject to the exclusive jurisdiction of the English Courts.
